*FlyGuyz NFT Holder Non-Exclusive Licensing Agreement
This non-exclusive licensing agreement ("Agreement") sets forth the terms and conditions under which you, as the holder of a FlyGuyz NFT ("Holder"), are granted certain intellectual property rights over the FlyGuyz NFT that you own ("NFT").
Grant of Rights: Subject to the terms and conditions of this Agreement, the FlyGuyz brand ("Brand") grants you a non-exclusive, non-transferable, and limited license to use, display, and reproduce the NFT for personal and commercial purposes, solely for as long as you are the Holder of the NFT. This license is granted solely to you as the Holder of the NFT and does not extend to any other person or entity.
IP Rights: You acknowledge and agree that the Brand grants you the exclusive right to use, display, and reproduce the NFT, subject to the terms and conditions of this Agreement. You acknowledge and agree that the Brand is the sole owner of all intellectual property rights in and to the NFT, including but not limited to any copyright, trademark, or other proprietary right. Nothing in this Agreement shall be construed as a transfer or assignment of any such rights to you.
Revocation of Rights: The Brand reserves the right to revoke the rights granted under this Agreement at any time, in its sole discretion, if it determines that you are engaging in any activity that is illegal, offensive, discriminatory, or damaging to the Brand or its reputation. In the event that your rights are revoked, you must immediately cease using, displaying, and reproducing the NFT.
Representations and Warranties: You represent and warrant that (i) you have the legal capacity and authority to enter into this Agreement, (ii) your use of the NFT will not infringe on the intellectual property rights of any third party, and (iii) you will use the NFT only for lawful purposes and in compliance with all applicable laws and regulations.
Limitation of Liability: In no event shall the Brand be liable for any direct, indirect, incidental, special, or consequential damages arising out of or in connection with your use of the NFT.
Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which the Brand is located, without giving effect to any principles of conflicts of law.
Entire Agreement: This Agreement constitutes the entire agreement between you and the Brand with respect to the NFT and supersedes all prior or contemporaneous communications and proposals, whether oral or written.
By owning a FlyGuyz NFT, you acknowledge and agree to be bound by the terms and conditions of this Agreement. The Brand reserves the right to modify or amend this Agreement at any time, in its sole discretion, by posting the modified or amended Agreement on its website or other digital platform. Your continued use of the NFT after any such modification or amendment constitutes your acceptance of the modified or amended Agreement.
